1. Services

UX Masters offers professional user experience and interface design services, including but not limited to UX audits, UI design, prototyping, usability testing, and related consulting. Scope, deliverables, timelines, and fees for each engagement will be detailed in a separate project proposal or statement of work agreed by both parties.

2. Client Responsibilities

• Provide timely access to any necessary stakeholders, data, credentials, or materials.
• Review deliverables within the agreed feedback period (typically 5 business days).
• Consolidate feedback and approvals to avoid delays.

3. Fees & Payment

All fees are as specified in the project proposal. Payments are due as follows:

• Deposit: 50% of total project fee upon project kickoff.
• Progress Payment: 25% upon delivery of mid-project milestone.
• Final Payment: 25% upon project completion and client approval.

Invoices are payable within 15 days of receipt. Late payments incur a 1.5% monthly interest fee. We reserve the right to suspend work if payments are overdue by more than 30 days.

4. Revisions & Change Requests

Each package includes the number of revision rounds specified in the proposal. Additional changes beyond the agreed revisions will be billed at our standard hourly rate and require client approval.

5. Intellectual Property

Upon full payment, UX Masters grants you a perpetual, worldwide, non-exclusive license to use the final deliverables for your internal business purposes. We retain the right to display work in our portfolio and marketing materials. All pre-existing tools, methodologies, and frameworks remain our sole property.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement. Confidential information does not include information that is publicly known or rightfully received from a third party.

7. Warranties & Disclaimers

We warrant that our services will be performed with reasonable care and skill. Except as expressly stated, all other warranties (including merchantability or fitness for a particular purpose) are disclaimed to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law, UX Masters’ total liability under these Terms shall not exceed the total fees paid by you for the services giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages.

9. Termination

Either party may terminate by providing 14 days’ written notice. Upon termination, you will pay for all work completed up to the termination date. We will deliver any completed work upon receipt of final payment.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
